Constitution

The organization shall be known as the Heisey Wind Ensemble.

The purpose of the Heisey Wind Ensemble shall be to provide a performance opportunity for qualified musicians and to provide an opportunity for people in the Licking County area to hear wind ensemble music.

Members

Members shall be selected based on musical ability and instrumentation needs of the Heisey Wind Ensemble.

A prospective member shall present a written request for membership to the conductor. Upon invitation of the conductor, the prospective member may then rehearse with the Heisey Wind Ensemble but must complete an audition within four rehearsals. Upon successful completion of an audition, he or she may become a member of the Heisey Wind Ensemble. He or she shall remain a member of the Heisey Wind Ensemble as long as he or she shows musical competence and maintains regular attendance. Denison University students shall be accepted as per the Memorandum of Cooperation with Denison University.

Board of Directors

The executive authority of the Heisey Wind Ensemble shall be vested in a Board of Directors.

The Board of Directors shall consist of a Chair, Secretary/Treasurer, Personnel Manager, Publicity Coordinator, Librarian, Property Manager, and Denison Student Representative. The Conductor, Assistant Conductor and Business Manager shall meet with the board as non-voting ex-officio members.

The duties of the Board of Directors will include:

1. Management of the general affairs of the band and taking actions which are compatible with the best interests of the band.

2. Management of the financial affairs of the band and establishment of an annual budget.

3. Appointment and dismissal of the Conductor, Assistant Conductor, and Business Manager. Each April the performance of each of these persons shall undergo a review.

4. The replacement of members of the Board of Directors who are unable to complete their terms of office.

5. The establishment of an annual schedule of rehearsals and concerts.

Elections

The members of the Board of Directors shall be chosen for a two-year term; Chair, Publicity Coordinator, and Property Manager on odd-numbered years and Secretary/Treasurer, Personnel Manager, and Librarian on even-numbered years. The Denison Student Representative shall be elected annually by the end of September by the Denison University student members of the Heisey Wind Ensemble.

A nominating committee shall be appointed before April 1st by the Chair of the Board. The nominating committee shall consist of five members of the Heisey Wind Ensemble, only one of whom shall be a board member. The nominating committee will select one candidate for each position to be filled on the Board of Directors. This slate will be presented to the members of the Heisey Wind Ensemble by May 1st. Voting shall be not less than two weeks after the announcement of the candidates.

It shall require a two-thirds majority vote of the Heisey Wind Ensemble membership to select the Board. Lacking the required vote, the nominating committee shall present a revised slate at the next rehearsal.

Any member may request a meeting with the Board of Directors. This meeting shall take place within two weeks or at a mutually agreed upon time.

A copy of a proposed amendment to this constitution must be presented to a meeting of the band membership at least 30 days prior to voting on the Amendment. A three-fourths majority of those present when the voting is held will be necessary for adoption of the amendment.
